Terms of Service for Teemyo

Acceptance of Terms

By downloading, installing, or using the Teemyo mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Valuebridge Inc., doing business as Teemyo ("we," "us," or "our").

Description of Service

Teemyo is a voice memo and conversation recording application that allows users to:

Record and store voice memos and conversations (subject to applicable recording consent laws)
Generate AI-powered transcripts from recordings
Create summaries and insights from conversations
Discover other Teemyo users through contact synchronization

Recording Consent and Legal Compliance

IMPORTANT NOTICE: You are solely responsible for complying with all applicable laws and regulations regarding audio recording in your jurisdiction.

Recording Laws Vary by Location

All-Party Consent States: Some jurisdictions require that ALL parties to a conversation consent to being recorded. These states include California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Nevada, Oregon, Pennsylvania, Vermont, and Washington.

One-Party Consent States: Other jurisdictions permit recording if at least ONE party (which may be you) consents to the recording.

Teemyo operates from California, which is an all-party consent state. California law requires that all participants in a confidential conversation must consent to being recorded.

Your Obligations

You must determine which laws apply to your recordings based on the location of all participants
You must obtain all legally required consent before recording any conversation
You are responsible for informing participants that a recording is taking place when required by law
You must comply with all applicable federal, state, local, and international recording laws

Teemyo's Liability

Teemyo provides technology tools and does not provide legal advice
Teemyo is not liable for your failure to obtain required consent or comply with applicable laws
Violations of recording consent laws may result in civil or criminal penalties in your jurisdiction
You agree to indemnify Teemyo for any claims arising from your failure to obtain required consent

If you are uncertain about your obligations, consult with a licensed attorney in your jurisdiction before recording.

Account Registration and Security

Account Creation

You must provide a valid phone number for account verification
You are responsible for maintaining the security of your account
You must provide accurate and complete information
You may only create one account per phone number

Account Security

You are responsible for all activities under your account
You must immediately notify us of any unauthorized use
You must not share your account credentials with others
You must maintain control of the phone number associated with your account

Acceptable Use

Permitted Uses

You may use Teemyo for lawful purposes, including:

Personal conversation recording and documentation
Professional meeting notes and summaries
Educational or collaborative content creation

Prohibited Activities

You may not use Teemyo to:

Illegal Activities

Violate any applicable laws or regulations
Engage in any form of illegal activity
Harass, threaten, or intimidate other users

Harmful Content

Share content that is offensive, abusive, or discriminatory
Transmit spam, unsolicited messages, or commercial content
Share content involving minors inappropriately
Distribute malware, viruses, or harmful code

Service Abuse

Attempt to reverse engineer or hack the App
Use automated systems to access the service
Interfere with other users' enjoyment of the service
Create fake accounts or impersonate others

Contact Misuse

Contact users without their consent
Use contact information for purposes outside of Teemyo
Share others' contact information without permission

Contact Access and Privacy

Contact Synchronization

You grant Teemyo permission to access your device contacts
Contact access is used solely for user discovery within the App
You represent that you have permission to share your contacts' information
You may disable contact access at any time in your device settings

Responsibility for Contacts

You are responsible for obtaining consent from contacts before syncing
You agree not to sync contacts who have not consented to such sharing
You understand that syncing contacts may make you discoverable to those contacts

Intellectual Property

Your Content

Ownership:

You retain full ownership of all content you create, upload, or share through Teemyo, including voice recordings, text, images, and any other materials ("Your Content")
These Terms do not transfer any ownership rights in Your Content to Teemyo

License Grant to Teemyo: To enable us to provide, maintain, and improve the Service, you grant Teemyo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, display, reproduce, modify, create derivative works from, perform, and distribute Your Content solely for the following purposes:

Service Delivery: To transmit, display, and provide access to Your Content within the App as necessary to deliver the Service to you
AI Processing: To process Your Content through third-party AI services, including:
- Transcribing voice recordings into text using speech-to-text services (e.g., Deepgram)
- Generating summaries, tags, insights, and other derivative content using AI analysis services (e.g., Claude AI)
- Creating searchable indexes and metadata from Your Content
Storage and Backup: To store Your Content on our cloud infrastructure (including Google Cloud Storage) and create backup copies for data integrity and disaster recovery
Service Improvement: To analyze usage patterns and improve Service performance, features, and user experience (in aggregated, anonymized form where possible)
Third-Party Service Providers: To sublicense Your Content to our service providers solely for the purpose of operating, maintaining, and improving the Service

Important Clarifications:

This license is limited to providing and improving the Service for you
Your data is NOT used to train AI models - see our Privacy Policy Section 3.4 for details
We will not use Your Content for advertising or marketing purposes without your separate consent
This license ends when you delete Your Content or your account, except where we are required to retain copies for legal, security, or operational purposes as described in our Privacy Policy
Some third-party processors may retain temporary copies during processing as described in their privacy policies

Your Representations:

You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use and grant us rights to Your Content
You represent that Your Content does not violate any third-party rights, including intellectual property rights, privacy rights, or recording consent laws
You are responsible for ensuring you have the legal right to record and share any content uploaded to Teemyo

Teemyo's Property

Teemyo owns all rights to the App, including software, design, and trademarks
You may not copy, modify, distribute, or create derivative works of the App
These Terms do not transfer any ownership rights to you

Privacy and Data Protection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Service Availability and Modifications

Service Availability

Teemyo is provided "as is" and "as available"
We do not guarantee continuous, uninterrupted access to the service
Service may be temporarily unavailable due to maintenance, updates, or technical issues

Service Modifications

We reserve the right to modify, suspend, or discontinue the service at any time
We may add, remove, or modify features without prior notice
Significant changes will be communicated through the App or other reasonable means

Disclaimers and Limitations of Liability

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED

AI-Generated Content Disclaimer

Teemyo uses artificial intelligence technology to generate transcripts and summaries from your voice recordings. You acknowledge and agree to the following:

Accuracy Limitations:

AI-generated transcripts may contain errors, omissions, inaccuracies, or misinterpretations of spoken words
AI-generated summaries may be incomplete, inaccurate, or may mischaracterize the content of conversations
Transcription accuracy may vary based on audio quality, accents, background noise, technical terminology, or speaking patterns
AI models may misunderstand context, nuance, sarcasm, or non-verbal communication

Not for Critical Use:

AI-generated content should NOT be relied upon for legal, medical, financial, professional, or other critical decision-making purposes
AI-generated content is provided for convenience and general informational purposes only
You should verify the accuracy of any AI-generated content before relying on it for important matters

No Warranty:

WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED TRANSCRIPTS, SUMMARIES, TAGS, OR OTHER AI-PROCESSED CONTENT
You use AI-generated content at your own risk and discretion
We disclaim all liability for any decisions made or actions taken based on AI-generated content

Third-Party AI Services:

We use third-party AI services (including Deepgram for transcription and Claude AI for summaries) to process your content
These services are subject to their own terms and limitations
We are not responsible for errors or limitations inherent in third-party AI technologies

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

Third-Party Services

We are not responsible for the performance or availability of third-party services
Third-party services are subject to their own terms and privacy policies
We disclaim liability for any issues arising from third-party service use

Indemnification

You agree to indemnify and hold Valuebridge Inc. and Teemyo harmless from any claims, damages, or expenses (including attorney fees) arising from:

Your use of the App
Your violation of these Terms
Your violation of any rights of another person or entity
Your violation of applicable law, including recording consent laws
Your failure to obtain required consent to record conversations
Any claims by third parties related to Your Content

Account Suspension and Termination

Termination by You

You may delete your account at any time through the App settings
Deletion will remove your profile and associated data
Some information may be retained as required by law or for legitimate business purposes

Termination by Us

We may suspend or terminate your account if:

You violate these Terms
You engage in prohibited activities
We believe termination is necessary to protect our service or other users
Required by law or legal process

Effect of Termination

Upon termination, your right to use the App immediately ceases
We may delete your account data in accordance with our Privacy Policy
Provisions regarding intellectual property, liability, and dispute resolution survive termination

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Dispute Resolution Process

Before filing any legal action, you agree to:

Contact us at legal@teemyo.ai to attempt resolution
Participate in good faith negotiations for 30 days
Consider mediation if direct negotiation fails

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules in San Francisco, California.

Opt-Out Right: You may opt out of the arbitration agreement by sending written notice to legal@teemyo.ai within 30 days of first accepting these Terms. Your notice must include your name, account email, phone number, and a clear statement that you wish to opt out of arbitration. If you opt out, you and Teemyo agree to resolve disputes in the courts of California.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Valuebridge Inc.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

Updates to Terms

We may update these Terms from time to time
Changes will be posted in the App with an updated "Last Updated" date
Continued use after changes constitutes acceptance of new Terms
Material changes will be communicated with reasonable advance notice

Age Requirements

Teemyo is intended for users 13 years of age and older. By using the App, you represent that you are at least 13 years old. If you are under 18, you represent that you have obtained parental consent to use the service.

International Use

Teemyo may not be available in all countries. You are responsible for compliance with local laws when using the service. We make no representations that the service is appropriate or available for use in all locations.

California Resident Rights

If you are a California resident, you have specific privacy rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). For complete details about your California privacy rights, including the right to know, delete, opt-out, and correct your data, please see Section 8 of our Privacy Policy at https://teemyo.ai/privacy.

Open Source and Third-Party Components

Teemyo may include open source software components. Such components are subject to their respective licenses, which are incorporated by reference into these Terms.
